1. About ASCA
ASCA — Advanced Student Club Automation — is a student-created and student-led platform intended to fill technology gaps for extracurricular student organizations. ASCA does not replace academic, grading, registrar, or institutional administrative systems.
Qualifying student organizations may receive eligible ASCA services without a platform subscription charge. Paid offerings are intended for businesses and other external, non-academic organizations. Commercial revenue supports continued student access.
For questions about these Terms, contact [email protected].
2. Scope
These Terms govern access to ASCA websites, accounts, software, APIs, integrations, and enabled product modules. Additional terms may apply to a student-access program, commercial order, event, marketplace transaction, developer integration, or particular module. A specific signed agreement or order controls within its stated scope.
Service descriptions explain available functionality but do not override these Terms or promise that every planned feature is available.
3. Accounts and eligibility
Provide accurate information, keep credentials secure, and promptly report suspected unauthorized use. An account belongs to its identified account holder and may not be transferred or shared except through an approved organization transition.
Some services may be used by or for minors only through a separately approved age, guardian, organization, or consent pathway. Until ASCA publishes such a pathway for a service, a person who lacks legal capacity to accept the applicable terms must not create an independent account or accept on behalf of an organization.
4. Organizations and authority
An organization administrator can configure technical access but does not automatically have legal authority to bind the organization. Anyone accepting organization terms represents that they have the required authority.
Organizations remain responsible for their activities, rules, administrators, authorized users, content, members, participants, events, transactions, integrations, and legal obligations unless a written agreement expressly assigns a responsibility to ASCA.
ASCA is generally a software and infrastructure provider. ASCA is not automatically an organization representative, educational institution, event organizer, venue, employer, insurer, medical or emergency provider, seller, merchant of record, payment processor, carrier, warehouse, or professional service provider.
5. Acceptable use
Use ASCA only within the permissions and documented scope provided to you. The Acceptable Use Policy applies to all use of the services. Organization rules may add requirements but may not authorize conduct that violates ASCA platform restrictions.
Do not attempt to obtain access beyond your authorization, defeat security or usage controls, interfere with service operation, distribute malware, exploit minors, impersonate others, conduct fraud, invade privacy, evade moderation, or use ASCA for unlawful or seriously harmful activity.
6. Content and organization records
You and the applicable organization retain rights in content you lawfully provide. Supplying content grants ASCA a limited permission to host, transmit, transform, analyze, and display it only as needed to provide, secure, support, and improve the selected services and meet legal obligations.
You must have the rights and permissions needed to provide content and configure its use. Shared infrastructure and a shared account do not create unrestricted visibility across organizations.
Organization operational records may remain under organization control even when an individual account closes. Access, export, retention, deletion, de-identification, legal preservation, and transition follow the applicable record type, organization relationship, and policy.
7. Modules, automation, and moderation
Enabled modules remain subject to their product terms and organization configuration. Automated or AI-assisted output may be inaccurate, unavailable, uncertain, or affected by false positives and false negatives.
An automated assessment, organization policy, human review, moderation decision, and executed platform action are distinct. Organizations remain responsible for their rules, authorized reviewers, consequences, and required communications. ASCA does not provide legal, medical, emergency, or professional advice through automated output.
8. Integrations and third-party services
Connected services are independent and remain subject to their own terms, privacy practices, permissions, availability, and account controls. An integration does not make ASCA responsible for the connected service or make that service responsible for ASCA.
ASCA may change replaceable infrastructure and processing providers without changing the purpose of the service. Material changes to user-facing data handling will follow the applicable notice and review process.
9. Paid services and transactions
Prices, billing intervals, usage allocations, taxes, renewal, cancellation, refunds, credits, overages, payment roles, and transaction-specific obligations must be presented in the applicable checkout, order, or commercial agreement.
ASCA platform subscription billing is distinct from an organization’s sales, event fees, membership payments, rentals, donations, marketplace activity, and other transactions. Do not assume ASCA is the seller or merchant of record unless the transaction expressly says so.
10. Service changes and availability
ASCA may improve, add, limit, suspend, or discontinue a service or integration. Where a change materially affects an active paid commitment or user right, ASCA will use the notice, transition, and remedy process stated in the applicable agreement.
Service dependencies can fail, and ASCA does not promise uninterrupted or error-free operation unless a signed service-level commitment says otherwise.
11. Suspension, enforcement, and appeals
ASCA may restrict access to protect users, organizations, security, service integrity, legal process, or the platform. ASCA will scope an action to the documented risk and its authority. Where available, affected users or organizations may request review under the Content Moderation and Enforcement Policy.
Suspension does not automatically resolve outstanding payment, export, retention, preservation, or organization-control questions.
12. Privacy and security
The Privacy Policy explains ASCA’s information practices. The Security Overview describes public security commitments without exposing confidential system design.
Do not submit passwords, payment credentials, government identifiers, medical records, or other highly sensitive information unless the selected workflow expressly requests and supports it. Connected community and streaming platforms have their own access and data practices outside ASCA’s control.
13. Intellectual property
ASCA and its licensors retain rights in the platform, software, branding, documentation, and platform-created materials. These Terms do not grant a right to copy, reverse engineer, resell, or misuse them except where applicable law does not permit that restriction.
Reports concerning third-party intellectual property are handled under the Copyright and Intellectual Property Policy.
14. Limited right to use the services
Subject to these Terms and the terms applicable to an enabled service, ASCA grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use the services made available to you for their documented purpose. This is a right to use the service, not a sale or transfer of ASCA software, source code, platform data, branding, documentation, or intellectual property.
You may print or download public documentation and your authorized exports for their intended use. You may not reproduce, frame, mirror, resell, sublicense, white-label, commercially exploit, or create a competing service from ASCA materials except through an express license, documented API permission, or right that applicable law does not permit ASCA to restrict.
ASCA reserves every right not expressly granted. A plan, role, organization membership, integration credential, or administrator permission grants only the access shown for that context.
15. User representations and account responsibility
When you create an account, accept terms, connect a service, configure an organization, submit content, or complete a transaction, you represent that:
- the information you provide is materially accurate and kept current;
- you have the legal capacity and authority required for the action;
- you will comply with the documents presented for the service and context;
- you will not use automated or non-human access unless ASCA documents or authorizes it;
- you will not conceal your identity or authority to defeat eligibility, billing, security, moderation, or organization controls; and
- your use will not violate another person's rights or an applicable restriction.
You are responsible for activity performed through credentials under your control until you report a compromise or ASCA otherwise has notice sufficient to act. This does not make you responsible for activity proven to result from ASCA's own failure or remove a non-waivable right.
ASCA may require verification, correct inaccurate account information, reject an unsupported registration, or restrict an account when the supplied information or authority cannot be verified.
16. User contributions and public content
The services may allow users and organizations to submit profiles, listings, messages, forms, reviews, reports, media, documents, event materials, product information, or other contributions. A contribution remains the contributor's responsibility and may be visible to the audience selected by the contributor, organization configuration, or service workflow.
You represent that you have the rights, notices, consents, and permissions needed to submit a contribution and allow its intended processing and publication. A contribution must not violate the Acceptable Use Policy, misrepresent its source, expose information without authorization, infringe another person's intellectual-property or privacy rights, or contain an undisclosed executable or malicious payload.
ASCA receives only the limited license reasonably needed to host, copy, transmit, adapt for technical compatibility, scan, analyze, display, and distribute the contribution for the selected service, its security, support, and legal obligations. ASCA does not obtain ownership of organization content merely because it is submitted. Public publication may allow others to view, link to, or interact with the contribution according to the feature.
ASCA may restrict, quarantine, remove, preserve, or disable access to a contribution when required by platform policy, security, legal process, a valid rights complaint, organization authority, or service operation. Removal from public view does not guarantee immediate deletion from backups, audit records, legal holds, or independent connected services.
17. Feedback and direct submissions
If you voluntarily send ASCA an unrestricted suggestion, product idea, feature request, correction, or other feedback, ASCA may use it to operate and improve the platform without owing compensation or exclusivity. This permission does not transfer ownership of customer content, private organization records, moderation evidence, personal information, commissioned work, or material submitted under a confidentiality obligation.
Do not send trade secrets, privileged material, or another person's confidential information through a general feedback channel. A separate written agreement controls feedback or work submitted under an expressly accepted confidentiality, employment, volunteer, contractor, partnership, or commission arrangement.
18. Third-party links, listings, and endorsements
The services may display links, embeds, integrations, listings, advertisements, sponsorships, partner offers, user contributions, or other material supplied by independent parties. Their presence does not by itself mean ASCA endorses, controls, verifies, guarantees, or assumes responsibility for the independent party or its content, availability, products, security, privacy, fulfillment, or conduct.
Material compensation, sponsorship, referral, or affiliate relationships will be disclosed where required and in a location reasonably connected to the relevant representation. User testimonials and case studies describe the identified experience and do not guarantee the same result for another user or organization.
Transactions with an independent party are governed by the roles and terms presented for that transaction. Report a misleading listing, unsafe link, impersonation, or undisclosed conflict through the applicable support or abuse channel.
19. Software, APIs, and automated access
ASCA may provide web software, downloadable components, APIs, webhooks, software-development materials, bots, or integration credentials. Additional developer, platform, or distribution terms apply when presented.
Unless expressly permitted, you must not:
- copy, decompile, disassemble, derive source code from, or reverse engineer a protected component except to the extent applicable law makes that right non-waivable;
- bypass rate limits, authentication, entitlements, metering, security, tenant boundaries, or technical restrictions;
- scrape, index, train on, aggregate, or systematically extract non-public service data;
- share credentials, tokens, signing secrets, or restricted documentation;
- falsify webhook events, integration state, installation identity, usage, or service acknowledgments; or
- use an API, bot, or automated client outside its documented scope.
ASCA may rotate credentials, change a version, deprecate an interface, apply a rate limit, or require security remediation. A documented deprecation or commercial commitment controls where it provides a specific transition period.
20. Trials, alpha services, previews, and promotions
A trial, alpha, beta, preview, early-access feature, promotional allocation, or experimental service may be incomplete, changed, rate-limited, suspended, or withdrawn. Its presentation must identify material eligibility, duration, limits, charges, conversion, cancellation, data, support, and availability terms that differ from the generally available service.
Participation does not guarantee future access, pricing, compatibility, feature retention, migration, or production release. Confidential previews remain subject to any separately accepted confidentiality and testing terms. ASCA will not use a preview label to avoid a mandatory consumer right or a commitment expressly accepted in a paid order.
21. Service information, availability, and corrections
ASCA tries to keep service descriptions, pricing, documentation, compatibility, availability, and status information accurate. A typographical error, out-of-date page, display defect, or technical inconsistency does not create a feature or price that ASCA did not validly offer and accept.
ASCA may correct an error and will provide any notice, cancellation, refund, credit, or choice required by the applicable transaction terms or mandatory law. ASCA will not silently rewrite a completed order, accepted price, earned benefit, certified record, or historical legal version by editing a public page.
Roadmaps, mockups, design references, demonstrations, projections, and statements about planned functionality are informational unless an accepted agreement expressly makes them a commitment.
22. Regional availability and restricted use
Services, modules, transactions, prizes, payments, communications, exports, and data transfers may not be available in every location or to every person or organization. A user must not use ASCA to evade a lawful trade restriction, sanction, export control, payment restriction, age restriction, licensing requirement, or other access limitation applicable to that user or activity.
ASCA may require location, identity, organization, transaction, or eligibility information needed to apply a supported restriction. ASCA does not represent that a service is legally suitable in a jurisdiction merely because a website or endpoint is technically reachable there.
23. Disclaimers and responsibility boundaries
Services are provided according to the applicable published or signed commitment. ASCA does not guarantee that automated assessments will detect every harmful item, that organization records are legally sufficient for every purpose, or that an integration will remain available.
Unless an applicable agreement expressly states otherwise, ASCA does not provide legal, tax, financial, medical, mental-health, emergency, insurance, educational, employment, election-certification, accessibility-certification, or other licensed professional advice. Templates, automated output, documentation, examples, analytics, classifications, and organization records require review by the person or organization responsible for the decision.
Information supplied by users, organizations, connected services, merchants, venues, partners, and other independent parties may be incomplete or inaccurate. ASCA does not guarantee an independent party's identity, authority, listing, availability, fulfillment, safety, or compliance merely because that party appears through the service.
To the fullest extent permitted by law, the services are provided “as is” and “as available.” ASCA disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing or usage of trade. Nothing in these Terms excludes a right, warranty, remedy, or responsibility that cannot lawfully be excluded.
24. Liability, indemnity, and remedies
To the fullest extent permitted by law, ASCA is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, or business opportunity, arising from or relating to the services.
These standard online Terms do not impose a universal contractual liability cap or indemnification obligation. A signed order or more specific accepted agreement may allocate liability, indemnification, defense control, service credits, or exclusive remedies within its stated scope. Nothing in these Terms limits liability or a remedy that applicable law does not permit the parties to exclude or limit.
25. Changes, notices, and termination
Each published version must identify its version, publication date, effective date, change summary, and whether acceptance or reacceptance is required. Material changes become binding only on their stated effective date after any notice or acceptance required by these Terms or applicable law.
You may stop using the services. Organization closure, commercial cancellation, and transition require the applicable authority, billing, export, retention, integration, and record-preservation steps.
26. Electronic communications, records, and acceptance
ASCA may provide transactional communications, service notices, policy updates, security messages, receipts, and acceptance records electronically through an account, email address, connected service, checkout, or another presented channel. Marketing consent is separate from receipt of essential service communications.
An acknowledgment, consent, assent, signature, acceptance, and continued use are distinct. ASCA will use the method required for the applicable document and context rather than treating every click, account session, or technical event as agreement.
Keep contact information current and retain a copy of accepted documents. ASCA may preserve the document identifier, version, checksum, presentation, actor, authority context, timestamp, locale, and method needed to establish what notice or acceptance occurred. The Electronic Communications and Notices Policy provides additional detail.
27. General contract terms
- These Terms and the documents validly incorporated into them form the entire standard online agreement for their stated scope. A signed order, negotiated agreement, or more specific accepted addendum controls only within its express scope.
- A failure or delay in enforcing a provision will not automatically waive it.
- If a provision is held invalid or unenforceable, it will be limited or severed to the minimum extent permitted without invalidating the remainder, unless the affected allocation was essential to the agreement.
- Headings, summaries, navigation, and examples aid readability but do not replace the operative text.
- No agency, employment, partnership, fiduciary, franchise, joint venture, or third-party-beneficiary relationship arises merely from using the services, participating in a program, or connecting an integration.
- Assignment, delegation, merger, acquisition, reorganization, and organization transition remain subject to applicable authority, notice, data, payment, and mandatory-law restrictions.
- Neither party is responsible for a delay caused by circumstances beyond its reasonable control to the extent the affected obligation and applicable agreement permit that treatment. Payment already due, data protection, security response, legal preservation, and transition duties are not automatically excused.
- The English version controls unless a published jurisdiction-specific translation or addendum expressly states otherwise.
28. Governing law and disputes
These Terms and any dispute arising from or relating to them or the services are governed by the laws of Singapore, without regard to conflict-of-law principles. Subject to mandatory law and any expressly accepted dispute procedure, the courts of Singapore have exclusive jurisdiction.
These standard online Terms do not require arbitration unless a separately signed agreement expressly provides otherwise. Nothing in these Terms excludes a right or remedy that applicable law does not permit the parties to exclude.
29. Contact
Questions, notices, or requests about these Terms may be sent to [email protected]. This email is the general legal inquiry channel and does not waive any formal service requirement under applicable law.
