Effective policy. This document is effective August 12, 2025. Replaces the January 28, 2025 version.
1. Scope
These terms apply when ASCA enables an approved marketplace, merchandise, procurement, preorder, or fulfillment workflow. The listing and checkout must identify the seller and any transaction-specific terms.
2. Seller responsibilities
The seller is responsible for accurate listings, authority to sell, product rights, inventory, pricing, taxes, licenses, safety, warnings, recalls, fulfillment, customer service, and the stated refund policy unless an approved transaction expressly assigns a responsibility differently.
Sellers must not offer illegal, dangerous, counterfeit, recalled, deceptive, or prohibited goods or services.
3. ASCA’s role
ASCA may provide listing, checkout, recordkeeping, communication, benefit, reward, and integration infrastructure. That does not automatically make ASCA the seller, manufacturer, importer, warehouse, carrier, merchant of record, tax agent, or guarantor.
The checkout must disclose the applicable role before a transaction is authorized.
4. Buyers
Buyers must provide accurate order and fulfillment information, review the listing and seller terms, and use an authorized payment method. Eligibility, membership, discount, or reward status does not guarantee product suitability or legal eligibility to purchase.
5. Payments, refunds, and disputes
Payment processing, fees, taxes, settlement, refunds, chargebacks, and payout responsibility follow the checkout and seller arrangement. The Refund and Cancellation Policy provides the platform framework but does not override transaction-specific terms or mandatory rights.
6. Fulfillment and risk
Estimated production, shipping, pickup, or delivery dates are not guarantees unless expressly stated. The applicable transaction must identify fulfillment, loss, damage, inspection, return, and customer-support responsibility.
7. Designs and intellectual property
A seller must have the rights needed for designs, names, logos, images, and products. Commission, licensing, royalty, and attribution terms require a separate approved agreement where applicable.
8. Rewards and contributions
Discounts, points, merchant credits, beneficiary contributions, fundraising, and rewards must disclose sponsor, eligible transaction basis, allocation, funding, reversal, expiration, and redemption treatment. Non-withdrawable credits must not be represented as cash.
9. Data use
Sellers and fulfillment partners receive only the information needed for the authorized transaction. They may not use customer or organization information for unrelated advertising, resale, or profiling without a separate lawful basis and notice.
10. Seller onboarding and listing standards
Before publishing, a seller must complete the applicable identity, organization, payment, tax, and risk review; identify authorized administrators; and maintain accurate payout and support information. Approval to list one item or category does not approve every future listing.
A listing must accurately identify the seller, item or service, total price, currency, inventory or availability, material characteristics, condition, variants, restrictions, taxes and fees, fulfillment method, estimated timing, return terms, and required safety or legal disclosures.
A seller grants ASCA a limited, non-exclusive permission to host, reproduce, resize, format, display, and distribute listing materials solely to operate, secure, promote, and support the authorized marketplace workflow. The seller retains its ownership and remains responsible for its rights in those materials.
11. Restricted listings
The marketplace may prohibit or restrict categories involving regulated goods, weapons, hazardous materials, recalled products, controlled substances, financial products, gambling, sexually explicit material, live animals, medical claims, surveillance, personal data, event access, age-restricted goods, or any category presenting elevated legal, safety, payment, or reputational risk.
Published category rules and listing-specific approval requirements supplement these terms. The absence of an item from an illustrative prohibited list does not authorize an unlawful or unsafe listing.
12. Orders and cancellation
Submitting an order is an offer to purchase under the displayed terms. An order is accepted only at the event identified during checkout, which may be payment confirmation, seller acceptance, production approval, or another disclosed event. An automated receipt alone does not necessarily constitute acceptance.
The seller or ASCA may reject or cancel an order before acceptance for availability, pricing error, risk, legal restriction, failed payment, fulfillment limitation, or suspected abuse. After acceptance, cancellation depends on the disclosed transaction terms and mandatory rights.
Custom, personalized, made-to-order, perishable, digital, event, clearance, and final-sale items may have distinct cancellation and return limits that must be shown before purchase.
13. Taxes, payouts, returns, and recalls
The transaction record must separately identify item price, discounts, taxes, tips, shipping, processor charges, platform charges, rewards, contributions, and other material components where applicable. A contribution or reward may not be silently deducted from seller proceeds.
Sellers remain responsible for determining, collecting, reporting, and remitting taxes assigned to them unless the checkout expressly identifies another legally responsible party. Payouts may be delayed or restricted for refund reserves, chargebacks, fraud, legal process, negative balances, verification, or payment-provider requirements.
The listing or checkout must identify the return window, required condition, method, shipping responsibility, restocking or non-refundable amounts, exchange options, and contact path. Safety notices, recalls, counterfeit concerns, damaged goods, missing items, and materially inaccurate listings may require immediate restriction, notification, preservation, refund, replacement, or reporting.
14. Cross-border transactions and risk of loss
International or cross-border transactions require explicit identification of the seller, buyer, importer of record, customs declarant, freight customer, warehouse operator, fulfillment provider, and owner of goods where applicable. ASCA does not guarantee customs clearance, duties, delivery dates, product compliance, carrier performance, or supplier performance.
Transfer of title and risk of loss must follow the transaction-specific terms and mandatory law; neither is inferred solely from ASCA providing checkout.
15. Reviews, monitoring, and account action
Reviews, questions, seller messages, and transaction communications must be truthful, relevant, and consistent with the Acceptable Use Policy. Incentives, free products, material relationships, and other connections that could affect a review must be disclosed.
ASCA may restrict a listing, seller, order, or payout where needed to address fraud, safety, legal process, product rights, payment risk, or platform abuse. Actions may include requesting information, delaying publication, limiting a category, canceling an unaccepted order, preserving records, holding a payout where authorized, issuing required notices, or suspending marketplace access.
Repeated cancellation, excessive disputes, misleading listings, unresolved complaints, unsafe products, rights violations, or evasion may result in additional review or removal. Marketplace action does not waive any contractual or legal remedy.
