Effective policy. This document is effective August 12, 2025. Replaces the January 28, 2025 version.
1. Scope and precedence
These terms apply to a business or other external, non-academic organization only when that customer affirmatively accepts the identified version. A signed Commercial Services Agreement, Order Form, Data Processing Addendum, or service-specific schedule controls within its stated scope.
The Terms of Service and Acceptable Use Policy continue to apply.
2. Customer authority
The person accepting must have authority to bind the customer and must provide accurate organization, billing, tax, and administrator information. Technical administrator access alone does not prove contracting authority.
The customer is responsible for its services, personnel, users, content, transactions, customers, events, locations, integrations, and legal obligations.
3. Services and orders
The applicable order identifies enabled services, modules, locations, plan, term, usage allocation, implementation work, dependencies, and support. Features not identified as available are not promised merely because they appear in a roadmap or general product description.
Customer configuration remains subject to platform restrictions, security, third-party limitations, and entitlements.
4. Fees and billing
The order or checkout must state currency, price, billing interval, usage allowance, overage or recharge treatment, taxes, discounts, trial, renewal, payment method, cancellation, and any pass-through cost before authorization.
ASCA may suspend paid access after a failed payment following the applicable notice and cure process. The customer must raise a disputed charge through the identified billing channel within the period stated in the applicable order or invoice. Service credits are not cash unless an approved schedule expressly says so.
5. Customer data and privacy
The customer determines its authorized organization workflows and must provide required notices and permissions. ASCA processes information according to the Privacy Policy and any applicable approved Data Processing Addendum.
The customer must not upload regulated, highly sensitive, or prohibited data unless the order expressly authorizes the workflow.
6. Security and administrators
The customer must maintain accurate administrators, use supported security controls, protect credentials, review integrations, and promptly report suspected compromise.
ASCA may restrict unsafe configuration, exposed credentials, abusive traffic, or access that threatens another organization or the platform.
7. Integrations
Connected services are independent. The customer is responsible for its accounts, permissions, contracts, and lawful use of connected data. ASCA does not guarantee that an integration will remain available or unchanged.
8. Support and service levels
Support channels, eligibility, hours, response targets, maintenance windows, availability commitments, and service credits exist only when stated in an approved order or service-level schedule.
9. Suspension and termination
ASCA or the customer may suspend or end services as stated in the order and applicable platform terms. Transition must address outstanding fees, administrator authority, exports, integrations, public content, retention, legal preservation, and pending disputes.
Conversion to student access requires a separate eligibility decision. Nominal student affiliation does not automatically qualify a commercial organization.
10. Order acceptance and customer terms
An order is accepted only through an approved checkout, electronic acceptance flow, or authorized signature. Purchase orders, procurement portals, vendor forms, or customer boilerplate do not add or change terms unless an authorized ASCA representative expressly accepts the change in writing.
The customer must review the service description, plan, term, renewal, cancellation method, usage limits, fees, and dependencies before accepting an order. A displayed plan name alone does not create an unlimited entitlement.
11. Plans, usage, and service changes
Plans may include organization, location, administrator, user, storage, transaction, processing, integration, or other measured limits. The applicable order must identify any included allowance and the consequence of exceeding it.
The customer may not evade limits by splitting one operation among accounts, organizations, or workspaces; conceal actual usage; resell access outside an approved program; or use one entitlement for an unrelated organization.
ASCA may improve or replace features during a subscription term. A change that materially removes a purchased core function is governed by the applicable order, notice commitment, and mandatory law. Preview, experimental, and no-charge features may change or end independently of paid features.
12. Subscription, renewal, and cancellation
The initial term, renewal term, non-renewal deadline, cancellation method, and effective cancellation date must appear in the order or checkout. A subscription does not automatically renew unless the customer receives the required disclosure and affirmatively accepts an autorenewing arrangement.
Cancellation ordinarily stops future renewal and does not retroactively cancel completed service, consumed usage, authorized work, or non-refundable pass-through commitments. Mandatory cancellation and refund rights continue to apply.
Downgrades may take effect at the next renewal, immediately, or after a transition period as disclosed at selection. Loss of an entitlement may disable new activity while preserving access needed for a lawful export or transition.
13. Customer content, ownership, and feedback
The customer retains its rights in Customer Data. It grants ASCA a limited right to host, copy, transmit, transform, display, and otherwise process that data only as needed to provide, secure, support, and lawfully operate the services under the accepted agreement. This permission ends when the applicable processing purpose and retention period end, subject to backup, legal preservation, security, and dispute requirements.
ASCA and its licensors retain rights in the services, software, interfaces, documentation, designs, trademarks, and improvements. The customer receives only the limited service-access rights stated in the accepted agreement.
If the customer voluntarily provides product feedback without a separate written restriction, ASCA may use that feedback to improve its services without an obligation to compensate the customer. Feedback does not grant ASCA ownership of Customer Data or confidential customer materials.
14. Implementation and professional services
Configuration, migration, design, training, procurement, or other professional services are included only when described in an approved statement of work or order. That document must identify deliverables, dependencies, assumptions, acceptance criteria, schedule, fees, customer cooperation, and treatment of third-party expenses.
Delays caused by missing customer access, approvals, content, decisions, or dependencies may change the schedule and cost only as allowed by the accepted order.
15. Confidential information and compliance
Where the parties exchange non-public business, security, technical, or commercial information, confidentiality duties must be established through an approved agreement appropriate to the relationship. These standard terms do not silently create an NDA, expand access to Customer Data, or authorize either party to use the other's confidential information for an unrelated purpose.
Each party remains responsible for laws applicable to its role. The customer must not use the services in violation of sanctions, export controls, anti-corruption laws, privacy requirements, accessibility duties, consumer protection, employment rules, fundraising restrictions, or sector-specific obligations applicable to the customer's activity.
16. Taxes, records, and payment authorization
Unless an order states otherwise, fees exclude taxes, duties, levies, telecommunications charges, payment-processor charges, and customer-selected third-party services. The customer is responsible for amounts legally imposed on its purchase, except taxes based on ASCA's net income. A valid exemption document must be provided before the affected charge is processed.
Billing administrators authorize ASCA and its payment processor to charge the selected payment method for accepted orders, recurring fees, approved usage, and disclosed pass-through costs. ASCA may correct a billing error and must provide a corresponding record.
17. Responsibility and controlling terms
ASCA does not become the customer’s employer, venue, organizer, insurer, merchant, professional provider, or legal representative merely by providing software.
Warranties, liability limits, indemnification, dispute procedures, taxes, payment roles, and automatic-renewal treatment follow the Terms of Service, the applicable Order Form, and any expressly accepted schedule. Singapore law governs these standard terms, subject to mandatory law and any expressly accepted dispute procedure.
